User Agreement

This is the User Agreement for the below-defined Service made available to you by Watchdog Research, Inc. ("Watchdog Research").

YOUR USE OF THE WATCHDOG RESEARCH WEBSITE(S) AND ANY OF THE CONTENT MADE AVAILABLE TO YOU THEREUNDER, INCLUDING BUT NOT LIMITED TO, ANY TEXT, DATA, INFORMATION, PRINTABLE REPORTS, PRODUCTS, MATERIALS, SOFTWARE, AND GRAPHICS CONTAINED OR PROVIDED THROUGH IT IN ANY FORM OR MEDIA AND ALL SERVICES THAT MAY BE PROVIDED IN CONJUNCTION WITH IT (COLLECTIVELY, THE "SERVICE") IS SUBJECT TO THE TERMS AND CONDITIONS OF THIS USER AGREEMENT ("AGREEMENT"). THE SERVICE IS MADE AVAILABLE TO YOU FOR INFORMATIONAL PURPOSES ONLY AND, BY SUBSCRIBING TO THE SERVICE, USING THE SERVICE IN ANY WAY (INCLUDING USING ANY CONTENT OR PRINTABLE REPORTS MADE AVAILABLE TO YOU IN CONNECTION WITH THE SERVICE), OR ACCEPTING ANY RELATED SERVICES FROM WATCHDOG RESEARCH, YOU AGREE THAT YOU: (1) HAVE READ AND UNDERSTOOD THIS AGREEMENT AND ITS TERMS, (2) ARE 18 YEARS OF AGE OR OLDER AND ARE AT LEAST OF THE LEGALLY-REQUIRED AGE IN THE JURISDICTION IN WHICH YOU RESIDE, AND OTHERWISE HAVE THE CAPACITY AND AUTHORITY TO ENTER INTO THIS AGREEMENT; AND (3) ARE BOUND BY ALL OF THE TERMS AND CONDITIONS SET FORTH IN THIS AGREEMENT.

Watchdog Research may change the terms and conditions of this Agreement at any time. A notification of such change(s), as well as the revised Agreement itself, will be posted in your Dashboard area or the User Agreement section of the Service. You will be responsible for regularly checking the Dashboard Area and for reviewing any changes to the Agreement. By using or accessing the Service after any such changes take place, you signify your acceptance of the change(s) and your agreement to be bound by them. If you do not agree to be bound by this Agreement or any changes to this Agreement, you are not permitted to use the Service.

Use of this Service

Subject to your compliance with the terms of this Agreement, Watchdog Research grants you a revocable, non-transferable, non-exclusive limited license to use those portions of the Service to which you are granted access. Subject to your compliance with the terms of this Agreement, you may download or print hard copies of full reports from the Service, inclusive of any Printable Reports that may be made available to you therein. Any such downloads/hard copies must contain the following notice:

You agree not to remove or otherwise alter any copyright or other proprietary notices from the Services or any reports made available to you therefrom, inclusive of the Printable Reports.
There may be certain limits or additional conditions imposed on you in order for you to access certain portions of the Service and/or to download and/or print pages or reports (e.g., the number of downloads may be limited or you may be required to pay additional fees for downloads beyond a certain number or you may be required to provide additional information). In all cases, this Agreement (as supplemented by such limits and/or additional terms and conditions) will govern your use of the Service and you agree to comply with it.

Except as expressly set forth in this Agreement, you may not modify, copy, distribute, disclose, retransmit, sell, publish, broadcast, or circulate the Service or any Printable Report, or any portion of then (including, but not limited to, any download or printed copies made from it) without Watchdog Research's prior written consent.

Watchdog Research has the right, at any time without notice, to: (i) revoke or limit your license to use the Service (or any portion of it); and (ii) change or discontinue providing the Service (or any portion thereof). Watchdog Research has no obligation to update the Service or to correct any errors or omissions that might be contained in it.

Printable reports

In connection with your use of the Service, Watchdog Research offers brief and full company reports in .pdf format (each, a "Printable Report") that you can download from CWDResearch.com and print in accordance with the terms of this Agreement. You receive an allotment of selected brief Printable Reports for no charge as part of your free and/or paid subscription. You may not distribute or copy full Printable Reports. Watchdog Research further reserves the right to limit the maximum number of such Brief Printable Reports that you may download, print and distribute.

Ownership and Copyright

You acknowledge and agree that the Service (including, without limitation, all Printable Reports and other information contained in or associated with it) is owned by Watchdog Research and/or its third party content providers ("Content Providers") and is protected by international copyright and other intellectual property laws. You further acknowledge and agree that the Service contains certain proprietary data and information of Watchdog Research and its Content Providers, that you will not use these data or information for any unlawful or unauthorized purpose, and that you will use reasonable efforts to protect such data or information from illicit distribution or use. Each Content Provider is a third party beneficiary of this Agreement to the extent necessary to enable it to enforce its proprietary rights in the data and the applicable use restrictions contained in this Agreement

Trademarks

WATCHDOG REPORT and the WATCHDOG REPORT & DESIGN logo are the proprietary trademarks and service marks of Watchdog Research. You will not use or allow any third party to use any of Watchdog Research's marks, including but not limited to the foregoing marks, without Watchdog Research's prior express written consent. All marks not owned by Watchdog Research and used by Watchdog Research in connection with the Service are the property of their respective owners and are used by Watchdog Research with their permission.

Disclaimer of Warranties

THE SERVICE, INCLUSIVE OF THE CONTENT AND PRINTABLE REPORTS CONTAINED THEREIN, ARE PROVIDED "AS IS" WITH ALL FAULTS (EXCEPT ONLY TO THE EXTENT PROHIBITED UNDER THE LAWS APPLICABLE TO THIS AGREEMENT). WATCHDOG RESEARCH AND ITS CONTENT PROVIDERS DISCLAIM ALL WARRANTIES OF ANY KIND REGARDING THE SERVICE, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OWNERSHIP, NONINFRINGEMENT, ACCURACY OF INFORMATIONAL CONTENT, AND ABSENCE OF VIRUSES AND DAMAGING OR DISABLING CODE.

NEITHER WATCHDOG RESEARCH NOR ITS CONTENT PROVIDERS WARRANT THE ACCURACY, COMPLETENESS, OR TIMELINESS OF THE SERVICE OR OF THE CONTENT CONTAINED THEREIN. NEITHER WATCHDOG RESEARCH NOR ITS CONTENT PROVIDERS SHALL BE RESPONSIBLE OR LIABLE TO YOU FOR ANY INVESTMENT DECISIONS, DAMAGES, OR OTHER LOSSES RESULTING FROM USE OF THE SERVICE OR THE CONTENT MADE AVAILABLE TO YOU THEREIN.

PAST PERFORMANCE DOES NOT GUARANTEE FUTURE PERFORMANCE. NEITHER WATCHDOG RESEARCH NOR ITS CONTENT PROVIDERS SHALL BE CONSIDERED AN "EXPERT" UNDER THE SECURITIES ACT OF 1933. NEITHER WATCHDOG RESEARCH NOR ITS CONTENT PROVIDERS WARRANT THAT THIS SERVICE COMPLIES WITH THE REQUIREMENTS OF THE NASD OR ANY SIMILAR ORGANIZATION OR WITH THE SECURITIES LAWS OF ANY JURISDICTION.

THIS SERVICE AND THE CONTENT MADE AVAILABLE TO YOU THEREIN IS provided TO YOU for general informational purposes only. None of the Service is intended as investment, tax, accounting or legal advice, as an offer or solicitation of an offer to sell or buy, or as an endorsement, recommendation or sponsorship of any company, security, or fund. NEITHER WATCHDOG RESEARCH NOR ITS CONTENT PROVIDERS NOR ANY OF THEIR RESPECTIVE OFFICERS, DIRECTORS, AGENTS, ADVISORS, INVESTORS, SUBSIDIARIES, EMPLOYEES OR OTHER PERSON THROUGH WHOM WATCHDOG RESEARCH MAKES THE SERVICE AVAILABLE SHALL BE LIABLE TO YOU FOR ANY DAMAGES OF ANY KIND ARISING FROM OR RELATING TO THIS AGREEMENT, THE SERVICE, OR THE USE OF, OR RELIANCE ON THE SERVICE, WHETHER IN CONTRACT OR TORT OR OTHERWISE, EXCEPT TO THE EXTENT SUCH DAMAGES ARISE DIRECTLY FROM A WILLFUL BREACH BY WATCHDOG RESEARCH (OR THAT PERSON) OF ANY OF ITS EXPRESS OBLIGATIONS UNDER THIS AGREEMENT OR EXCEPT TO THE EXTENT OTHERWISE EXPLICITLY MANDATED BY APPLICABLE LAW.

EXCEPT TO THE EXTENT OTHERWISE EXPLICITLY PROHIBITED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF WATCHDOG RESEARCH AND ITS CONTENT PROVIDERS AND THEIR RESPECTIVE OFFICERS, DIRECTORS, AGENTS, ADVISORS, INVESTORS, SUBSIDIARIES OR EMPLOYEES ARISING FROM OR RELATING TO THIS AGREEMENT, THE SERVICE, AND THE USE OF, OR RELIANCE ON, THE SERVICE, WHETHER IN CONTRACT, TORT OR OTHERWISE, SHALL BE LIMITED TO ACTUAL DIRECT DAMAGES THAT CAN BE FINALLY PROVED IN A COURT OF COMPETENT JURISDICTION IN AN AMOUNT NOT TO EXCEED $1,000

EXCEPT TO THE EXTENT OTHERWISE EXPLICITLY PROHIBITED BY APPLICABLE LAW, NEITHER WATCHDOG RESEARCH NOR ITS CONTENT PROVIDERS NOR ANY OF THEIR RESPECTIVE OFFICERS, DIRECTORS, AGENTS, ADVISORS, INVESTORS, SUBSIDIARIES, EMPLOYEES OR OTHER PERSON THROUGH WHOM WATCHDOG RESEARCH MAKES THE SERVICE AVAILABLE SHALL BE LIABLE FOR ANY PUNITIVE, SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATING TO THE FOREGOING, WHETHER IN CONTRACT OR TORT OR OTHERWISE, EVEN IF WATCHDOG RESEARCH OR ITS CONTENT PROVIDERS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Indemnification

You agree to indemnify, defend, and hold harmless Watchdog Research, its affiliates and its Content Providers and their respective officers, directors, agents, advisors, investors, subsidiaries and employees from and against any and all claims, liabilities, losses, costs (including, but not limited to, reasonable attorneys' fees), and/or damages of any kind arising from or relating to: (i) your use of the Service or the Printable Reports made available therein; (ii) your breach of this Agreement; and (iii) any messages, information, or materials uploaded, posted, published, or transmitted by you in connection with the Service (including, without limitation, in any Discuss Area (as defined below) that may be made available as part of the Service).

User Password

You must register with Watchdog Research and create an account to use the Services. If you are required to select a password to access or use the Service, you may then modify that password at any time as often as you like. You may not select any password that violates any third party's rights or is offensive, improper, or inappropriate. If Watchdog Research determines in its sole discretion that any password you select is inappropriate for any reason, Watchdog Research may delete that password and/or limit or terminate your access to the Service.

Your password is for your personal use only, you are responsible for maintaining the confidentiality of your password to access the Service, and you agree to keep it secret and not to share it with anyone.

YOU ARE SOLELY RESPONSIBLE FOR ALL USE, ACTIVITIES, AND CHARGES ASSOCIATED WITH OR ARISING FROM ANY USE OF YOUR PASSWORD, REGARDLESS OF WHETHER YOU AUTHORIZED SUCH USE. YOU MUST PROMPTLY NOTIFY WATCHDOG RESEARCH (USING THE TOLL-FREE NUMBER OR E-MAIL ADDRESS LISTED BELOW UNDER "CUSTOMER SERVICE AND PRODUCT SUPPORT") OF ANY UNAUTHORIZED USE OF YOUR PASSWORD).

Third-Party Web Sites, Links and Information

The Service may contain information, products, and services provided by third parties and links (including advertisements) to Web sites made available by third parties. This information and these products, services, and links are provided only as a convenience to you and other users of this Service. Watchdog Research does not control this information or these products, services, or Web sites. Watchdog Research does not make any representations or warranties, express or implied, regarding this information or these products, services, or Web sites and shall not be liable for any information or services received from them. Inclusion of any of the foregoing in conjunction with the Service does not constitute or imply an endorsement, authorization, sponsorship, or affiliation by or with Watchdog Research with respect to any third party, any third party's Web site or its content, or any information, products, or services provided by a third party.

Privacy and Information Made Available by You

You hereby consent to and authorize Watchdog Research to share your personal and other information with Watchdog Research’s affiliates (including affiliated websites under common ownership or control) and designated service providers for the purposes of making the Service available to you and providing research and analysis on the financial and regulatory disclosures of public companies which you express interest in learning about. Watchdog Research may share with other third parties information about Watchdog Research’s Web site users, such as your use of this Web site or other websites, and the services provided on this Web site or other websites, but only on an anonymous and aggregate basis.

You hereby consent to and authorize Watchdog Research to disclose your personal and other information to unaffiliated third parties if Watchdog Research believes in good faith that such disclosure is necessary: (a) to comply with the law or in response to a subpoena, court order, or other legal process; (b) to protect the interests, rights, safety, or property of Watchdog Research or others; (c) to enforce any terms of service on this Web site; (d) to provide you and other users of this Web site with the services or products requested by you and/or the other users (including allowing a purchaser of Watchdog Research to continue to serve you), and to perform other activities related to such services and products, including billing and collection; (e) to provide you with special offers or promotions from Watchdog Research that may be of interest to you; or (f) to operate Watchdog Research’s systems properly.

The collection, further use, and/or disclosure of your information by third parties are not the responsibility of Watchdog Research. Rather, such collection, use, and/or disclosure are governed by the third parties’ privacy policies.

Accuracy and Security of Personal Information

Any personal information that you may provide to Watchdog Research is kept on secure servers. Watchdog Research uses reasonable administrative, technical, personnel, and physical measures (a) to safeguard personal information against loss, theft, unauthorized use, disclosure, or modification; and (b) to ensure the integrity of the personal information. To help us protect your privacy, you should maintain the secrecy of the logon ID and password you may have set up in connection with your use of the Service.

Accessing and Updating Your Personal Information

To access, review, rectify, or delete your personal information covered by this Agreement, please contact us by email at [email protected]. While Watchdog Research will make reasonable efforts to accommodate your request, Watchdog Research also reserves the right to impose certain restrictions and requirements on such access requests, if allowed or required by applicable laws

Transfer of Personal Information to Other Countries

Some of the uses and disclosures mentioned in this Agreement may involve the transfer and processing of your personal information to and in various countries around the world that may have different levels of privacy protection than your country. By submitting your personal information, you consent to such transfers and processing, including to and in the United States.

Governing Law and Jurisdiction; Mandatory Arbitration

This Agreement is governed by and construed in accordance with the laws of the State of Florida, U.S.A., without giving effect to any choice-of-law or conflict-of-law provision or rule (whether of the State of Florida or any other jurisdiction) that would cause the application of the laws of any jurisdiction other than that of the State of Florida. You hereby consent to, and agree to bring any and all claims in, the exclusive jurisdiction of the state and federal courts located in Collier County, FL, U.S.A., for any action or proceeding arising under or relating to this Agreement, the Service, or the use of, or reliance on this Service, whether based in contract or tort or otherwise.

To expedite resolution and control the cost of any dispute, controversy or claim related to this Agreement (“Dispute”), you and Watchdog Research agree to first attempt to negotiate any Dispute (except those Disputes expressly provided below) informally for at least thirty (30) days before initiating any arbitration or court proceeding. Such informal negotiations commence upon written notice from one person to the other. You will send your notice to Watchdog Research, Inc., Attn: Legal Affairs, 780 5th Ave S, Suite #200, Naples, Florida 34102, U.S.A.. If you and Watchdog Research are unable to resolve a Dispute through informal negotiations within thirty (30) days, either you or Watchdog Research may elect to have the Dispute (except those Disputes expressly excluded below) finally and exclusively resolved by binding arbitration. Any election to arbitrate by one party will be final and binding on the other. YOU UNDERSTAND THAT ABSENT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL. The arbitration will be commenced and conducted under the Streamlined Arbitration Rules and Procedures (the “Rules”) of JAMS, which is available at the JAMS website www.jamsadr.com. The determination of whether a Dispute is subject to arbitration will be governed by the Federal Arbitration Act and determined by a court rather than an arbitrator. Your arbitration fees and your share of arbitrator compensation will be governed by the Rules. The arbitration may be conducted in person, through the submission of documents, by phone or online. The arbitrator will make a decision in writing, but need not provide a statement of reasons unless requested by a party. The arbitrator must follow applicable law, and any award may be challenged if the arbitrator fails to do so. Notwithstanding the above, you and Watchdog Research agree that arbitration will be limited to the Dispute between Watchdog Research and you individually. To the full extent permitted by law: (a) no arbitration will be joined with any other; (b) there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class action procedures; and (c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons. You and Watchdog Research agree that the following Disputes are not subject to the above provisions concerning informal negotiations and binding arbitration: (x) any Disputes seeking to enforce or protect, or concerning the validity of, any of your or of Watchdog Research’s intellectual property rights; (y) any Dispute related to, or arising from, allegations of theft, piracy, invasion of privacy or unauthorized use; and (z) any claim for injunctive relief or to compel arbitration, stay proceedings pending arbitration, or to confirm, modify, vacate or enter judgment on the award entered by the arbitrator.

Entire Agreement

This Agreement shall constitute the entire agreement between you and Watchdog Research regarding the subject matter hereof and shall supersede any and all prior negotiations, representations, warranties, undertakings, or agreements, written or oral, between the parties regarding such subject matter.

Severability

To the maximum extent possible, each provision in this Agreement shall be interpreted in such manner as to be valid and enforceable under applicable law. If any provision of this Agreement is held to be invalid or unenforceable under applicable law, such provision shall be modified so as to be rendered valid and enforceable while implementing, to the maximum extent possible, the original intent of such provision. If such modification is not possible or allowed, then such provision shall be ineffective only to the extent of such unenforceability or invalidity without affecting the remainder of such provision or any other provisions in this Agreement.

Paid User Provisions

In addition to the above, the following provisions shall apply to you if you are a paid subscriber of the Service:

Paid Service Subscription

Certain areas or features of the Service are only accessible with a paid subscription and you may not use these paid Service areas or features without a valid subscription from Watchdog Research. To obtain a paid subscription, you must register for the paid Service either by completing the online registration form available on the Service or by calling the toll-free number listed below under "Customer Service and Product Support." Your subscription will not be valid unless and until Watchdog Research accepts your registration. By registering for the Service, you represent and warrant that all registration information that you provide is true, complete, and accurate, and you agree to notify Watchdog Research promptly of any changes to this registration information. This notification can be effected either by editing your user profile in the Service or by calling the toll-free number listed below under "Customer Service and Product Support."

You understand that, unless you notify Watchdog Research that you wish to terminate your paid Service subscription before the end of your then-current subscription term, your subscription will continue to automatically renew for successive terms of the same duration and your credit card will be charged for each such renewal at the subscription fee in effect at the time of that renewal. In those instances where you took advantage of a special or introductory offer to become a paid subscriber of the Service, your subscription will automatically renew to the term specified in the offer and your credit card will be charged the subscription fee in effect at the time of that renewal. The term "subscription term" shall refer to the term of your subscription then in effect, regardless of whether it is the initial term or any renewal of that term.

WATCHDOG RESEARCH RESERVES THE RIGHT TO CHANGE THE PAID SUBSCRIPTION SERVICE AT ANY TIME WITHOUT NOTICE (INCLUDING BUT NOT LIMITED TO ADDING OR REMOVING FEATURES). IF YOU ARE DISSATISFIED WITH ANY SUCH CHANGES, OR IF YOU ARE OTHERWISE DISSATISFIED WITH THE PAID SUBSCRIPTION SERVICE (INCLUDING BUT NOT LIMITED TO ITS PERFORMANCE OR AVAILABILITY), YOUR ONLY REMEDY WILL BE TO CANCEL YOUR SUBSCRIPTION, AS SET FORTH BELOW.

Your subscription is personal to you, and you may not transfer or share your subscription or your passwords with any other person.

Charges and Billing Practices

If offered a free trial subscription to the Service, you will not be charged a subscription fee during that free trial period. If you remain a paid subscriber to the Service when the free trial subscription period ends, you will be charged for the initial term of your subscription and then, at the beginning of each subscription renewal term, if any, for the subscription fee for that renewal term. Subscription fees will be based upon the Service subscription rates in effect at the start of each subscription term and apply whether or not you actually use the paid subscription Service during that term. You can always find the current retail Service subscription rates by reviewing the Pricing Page.

Watchdog Research reserves the right to change the fees that it charges for the Service at any time. These sorts of changes include, but are not limited to, adding fees for new/optional features or content and/or modifying fees for the existing Service. By using the Service with which there are associated fees, you agree to pay those fees. If you do not want to pay these associated fees, you must cancel your subscription, as set forth below.

Subscription fees and all others fees and charges associated with your Service subscription (including, but not limited to, any applicable federal, state, and local taxes) will be billed automatically to the credit card you provide when registering for the paid subscription Service. If your credit card is a VISA or MasterCard and the number or expiration date for your credit card changes for any reason (for instance, you get a new number because your old card expired, was stolen, etc.), that updated information may be automatically passed on from your credit card issuer to Watchdog Research, and if Watchdog Research does receive such information, it will be treated by Watchdog Research as if it were originally furnished by you. To learn more about this service being provided by your credit card issuer, please contact them directly.

You must promptly notify Watchdog Research (as set forth below) if any information related to your credit card changes is no longer valid or of any other change to the information you provided Watchdog Research regarding your credit card (including, but not limited to, changes to your billing address or other pertinent contact information). Absent such notification, Watchdog Research will assume that all of the information related to your credit card remains valid and will submit to the card processor all information that it requires for approval, both when you initially subscribe to the Service and, if applicable, upon the commencement of any renewal of that Service subscription. If any Service subscription fees or other charges billed to your credit card are declined for any reason, Watchdog Research shall have the right to suspend your subscription without notice to you until such subscription fees or other charges are paid in full. You agree to pay all costs (including attorneys' fees) incurred by Watchdog Research in collecting any unpaid subscription fees or other charges from you.

All Service subscription fees paid and charges made prior to termination of the Service subscription are non-refundable, except as provided herein. Termination of your subscription shall not relieve you of any obligations to pay accrued and outstanding charges.

Cancellation

If you purchased your paid subscription through Watchdog Research, you may cancel your paid subscription by calling the telephone number listed under "Customer Service and Product Support" to notify Watchdog Research. Watchdog Research will not process subscription cancellations submitted via email. If you cancel your paid subscription, Watchdog Research will end your subscription and automatically refund you the unearned portion of any subscription fees that were previously paid to Watchdog Research using the same payment method used to pay for your subscription. In certain instances, if you subscribe to the Service through a third party partner of Watchdog, you must contact such third party partner to cancel your Service subscription.

If you cancel your subscription during your free trial period, you will not be responsible for the payment of a subscription fee.

Watchdog Research may immediately cancel your Service subscription, without notice or liability, if it determines in its sole discretion that: (i) you have breached any portion of this Agreement; or (ii) your use of or access to the Service violates any applicable law or regulation or otherwise inhibits any other subscriber from using or accessing the Service or any other content, service or feature offered by Watchdog Research on the Service. None of the foregoing limits any other legal, equitable, or contractual rights available to Watchdog Research.

Watchdog Research may, in its sole discretion, choose not to renew your Service subscription by sending a notice of non-renewal at any time during your subscription term to the e-mail address you provided when completing your registration. You will be deemed to have received this notice, whether or not you saw it or the e-mail address provided by you continues to be valid. In the event of such a notice, your subscription will cease and will not automatically renew at the end of your then-current subscription term.
